INDEPENDENT CONTRACTOR AGREEMENT – This Agreement between New Age Productions inc, and its affiliates ("Company"), is made as of Date of Submission by and between the Company and ("Contractor"). IN CONSIDERATION of their mutual promises made herein, and for other good and valuable consideration, the parties hereby agree as follows: 1. Scope of Work Male Stripper / Exotic Male Dancer for entertainment purposes only . 2. Price and Payment Specified prior each booking. Company is strictly a referral service paid by the client for referral services. New Age Productions inc, and its affiliates does not collect any money on the behalf of contractor. It is the sole responsibility of each individual Contractor to collect payment upon arrival at each event from client. 3. Independent Contractor Relationship The Contractor is an independent contractor and is not an employee, servant, agent, partner or joint venturer of the Company. The Company shall determine the work to be done by the Contractor, but the Contractor shall determine the legal means by which the Contractor accomplishes the work specified by the Company. The Company is not responsible for withholding, and shall not withhold, FICA or taxes of any kind from any payments it owes the Contractor. Neither the Contractor nor its employees shall be entitled to receive any benefits which employees of the Company are entitled to receive and shall not be entitled to workers' compensation, unemployment compensation, medical insurance, life insurance, paid vacations, paid holidays, pension, profit sharing, or Social Security on account of their work for the Company. 4. Business of Contractor The Contractor represents and warrants to the Company that the Contractor is engaged in an independent calling and has complied with all local, state, and federal laws regarding business permits and licenses that may be required to carry out the independent calling and to perform the services specified in this Agreement. Notwithstanding any due diligence performed by the Company with respect to the subject matter of these representations, the Contractor shall indemnify and hold the Company, its directors and officers, and its agents and employees, harmless from any and all claims, causes of action, losses, damage, liabilities, costs and expenses, including attorney fees, arising from breach of the representations set forth in this Section. Contractor must have all applicable soliciting licenses as required by law. 5. Personal Requirements The Contractor will adhere to all Company codes of conduct acknowledged by him at any time. Contractor also may not perform any personal errands or have personal passengers including while on duty for Company. Contractor also consents to all background checks, credit checks and drug tests as requested by Company randomly at any time. 6. Indemnity Contractor agrees to indemnify and save harmless MM ENTERTAINMENT LLC AND MM PRODUCTIONS LLC ("Indemnitee") and their successors and assigns, from any claim, action, liability, loss, injury, damage or suit, arising from the use of Company’s referrals. In the event of any asserted claim, the Indemnitee shall provide the undersigned reasonably timely written notice of same and, thereafter, the undersigned shall, at its own expense, defend, protect and save harmless Indemnitee against said claim or any loss or liability thereunder. In the further event the undersigned shall fail to so defend and/or indemnify and save harmless, then in such instance the Indemnitee shall have full rights to defend, pay or settle said claim on their behalf without notice to the undersigned and with full rights to recourse against the undersigned for all fees, costs, expenses and payments made or agreed to be paid to discharge said claim. 7. Term and Termination The Company reserves the right to terminate this Agreement at any time upon delivery of written notice of termination, and Contractor shall be compensated for all services provided prior to such termination. The Company may terminate this Agreement immediately, however, should Contractor fail to perform any of its obligations hereunder, including without limitation completion of the services provided for herein in a timely manner. The Contractor acknowledges and agrees that its obligations in the Non-Compete which is attached as Exhibit B, as well as any obligation to protect confidential information or trade secrets of the Company and assign intellectual property rights to the Company, shall survive the termination or expiration of this Agreement. This contract will renew month to month unless a new agreement is reached. 8. Entire Agreement This Agreement represents the entire agreement of the parties hereto relating to the subject matter hereof, and any prior agreements, promises, negotiations, or representations, whether oral or written, not expressly set forth in this Agreement are of no force and effect. This Agreement may be modified only by a writing signed by both parties. 9. Governing Law This Agreement shall be governed and construed in accordance with the laws of the State of Florida. Contractor agrees to comply with ALL APPLICABLE LAWS of the State where the service is provided.
